Terms and Conditions.

1. Introduction.
These Terms and Conditions ("Agreement") govern the provision of video and photography production services ("Services") by TFJ Produktion AB ("Company") to the client ("Client"). By engaging the Company's services, the Client agrees to be bound by this Agreement.

2. Services.
The Company agrees to provide the Services as outlined in the project proposal or quotation. Any additional services requested by the Client may incur additional charges.
The Company will not be subject to non-compete clauses in any form.

3. Booking and Payment.
3.1 Payment Structure - Projects Under 100,000 SEK: The total project cost is due upon delivery of the final deliverables or no later than 30 days after the production date.
3.2.1 Projects Over 100,000 SEK - Pre-Production and Shooting: An invoice will be issued upon the completion of these phases, with payment due within 30 days from the invoice date.
3.2.2 Post-Production: An invoice will be issued upon delivery of the final deliverables, with payment due within 30 days from the invoice date.3.3 Late Payments: Late payments will incur a late fee of 8% above the reference interest rate, in accordance with Swedish law.

4. Cancellation and Postponement.
4.1 Cancellation: If the Client cancels the project less than five (5) business days before the scheduled production date, a cancellation fee of 50% of the total project cost will apply.
If the Client cancels the project less than 1 business day before the scheduled production date, a cancellation fee of 100% of the total project cost will apply.
4.2 Postponement: Postponements made less than five (5) business days before the scheduled production date may incur additional charges, including cancellation fees of external crew members, location rentals, or other pre-booked resources. These costs will be billed to the Client at actual expense.

5. Deliverables and Revisions.
5.1 Deliverables: The Company will provide the final deliverables as specified in the project proposal.
5.2 Revisions:
5.2.1 Photographs: The Client is entitled to one (1) round of corrections.
5.2.2Videos: The Client is entitled to two (2) rounds of offline edits.
5.2.3Additional Revisions: Any further revisions will be charged at a rate of 1,700 SEK per hour.
5.3 Definition of Revisions and Additional Work
Revisions are defined as adjustments or clarifications to the delivered material that align with the original brief and creative direction. Examples include:
- Color grading adjustments.
- Audio level modifications.
- Correction of spelling errors in on-screen text.
- Minor timing adjustments.
- Changes to music selection within the options/direction initially provided.Additional Work refers to requests that fall outside the scope of the original brief or that introduce new elements not previously discussed. Examples include:
- Incorporation of new footage or scenes.
- Changes to voiceover content or script.
- Addition or modification of graphics or animations.
- Requests for alternate versions or formats.
- Any changes requiring significant re-editing or restructuring of the project.Requests categorized as Additional Work will be subject to additional charges, which will be communicated and agreed upon before commencement.

6. Usage Rights and Restrictions.
6.1 License: Upon full payment, the Company grants the Client a non-exclusive, non-transferable license to use the final version of the agreed deliverables for online use over a two-year period.
6.2 Restrictions:
The deliverables may not be resold to third parties.The Client is not permitted to alter, edit, or modify the deliverables in any way, except for cropping, without the prior written consent of the Company.
The Company reserves the right to use images for portfolio purposes, promotional content, competitions, and exhibitions.
If opting out of image use, the client may be subject to an additional fee for exclusive rights, which will be discussed and agreed upon prior to production.
6.2.1 Out of Home Advertising: Usage in digital and analog out-of-home advertising, such as magazines, billboards, public screens, TV commercials, and cinema ads, requires a separate agreement.
6.2.2 Multinational Corporations: For multinational corporations, usage rights are restricted per country as the publisher. While the reach can be international, the usage rights are granted on a per-country basis.
6.3 Buy-Out Option: At 100% of the original production cost, the Company can provide the Client with a hard drive containing the raw files of the project and a buy-out agreement, granting the Client unrestricted usage rights without time constraints.

7. Project Changes.
7.1 Altered Conditions: If the project is postponed, halted, or if conditions change after the project has commenced or after the brief has been approved, the Company reserves the right to revise the quotation or invoice for any accrued or increased costs.
7.2 Weather Delays: Any weather-related delays must be agreed upon in advance, and the costs for such delays must be predetermined. If the production is disrupted by unfavorable weather, resulting in postponement or rescheduling, the Company reserves the right to charge reasonable compensation for incurred costs and the time and resources involved.
7.3 Additional Services: For models, props, or special equipment ordered beyond the original quotation, the actual cost plus 1,500 SEK per hour for procurement time will be charged.

8. Liability.
Damage Responsibility: The Company reserves the right to invoice the Client for any damages occurring in a home or at a location rented for the Client's assignment, covering the deductible amount or any amount required by the insurance company.

9. Travel, Courier, and Accommodation Expenses.
9.1 Travel Costs: Will be charged at actual cost. For travel by personal vehicle, a mileage allowance of 55 SEK per mile applies. For travel outside Stockholm, 850 SEK per hour per production member will be charged. For total travel costs exceeding 5,000 SEK, a separate quotation will be provided.
9.2 Courier Services: Will be charged at actual cost plus administrative cost at 1,500 SEK per hour, unless included in the quotation under production management.
9.3 Accommodation: Will be charged at actual cost plus administrative cost at 1,500 SEK per hour, unless included in the quotation under production management.
9.4 Other Expenses: Such as but not exclusive to; parking fees, entrance fees, and lift tickets will be charged at actual cost.

10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Sweden.
